Owner and Investor/Buyer may be referred to individually as a “Party” and collectively as the “Parties.”
The purpose of this Agreement is to allow Investor/Buyer to evaluate certain off-market and/or confidential opportunitiesinvolving nightlife venues, adult entertainment establishments, bars, restaurants, hospitality businesses, and real estate assets throughout the United States (collectively, “Opportunities”).
“Confidential Information” includes, without limitation:
All Confidential Information shall be deemed proprietary and strictly confidential regardless of whether marked as such.
Investor/Buyer acknowledges and agrees:
Owner makes no representations or warranties, express or implied, as to the accuracy or completeness of any Confidential Information.

This Agreement shall be governed by the laws of the State of Nevada, with exclusive jurisdiction in Clark County, Nevada.
If any provision is deemed invalid, the remaining provisions shall remain enforceable.
This Agreement constitutes the entire agreement and supersedes all prior discussions. Any modifications must be in writing and signed by both Parties.
